These terms govern access to ConsignClose, a Shopify app for consignment vendor operations. By installing or using the app, the Shopify merchant agrees to these terms. If you use a vendor portal, your access is provided through the merchant’s account and is subject to that merchant’s instructions.
ConsignClose is the service name. For questions about these terms, contact support@mail.consignclose.com.
What the service does
ConsignClose reads the Shopify product, inventory, order, and refund information needed for consignment attribution and accounting. Merchants choose an order-history start date, review an import preview, and confirm before an import starts. The app provides vendor records, product assignments, commission rules, statements, exports, reconciliation tools, a vendor portal, and payout records. Available features may depend on the merchant’s selected plan.
ConsignClose prepares accounting records and instructions; it does not hold funds, act as a bank, or decide what a merchant owes a vendor. A connected PayPal account is an optional third-party payment service. The merchant must review recipients, amounts, currency, and the payout summary before submitting any transfer. PayPal processes and controls the transfer under its own terms.
Your responsibilities
- Maintain a valid Shopify account and authorize only the data access needed to use ConsignClose.
- Provide accurate vendor details, product assignments, commission terms, payment instructions, and accounting adjustments; review imports, statements, and payout records before relying on or paying them.
- Ensure that your use of vendor data, vendor communications, and any exports complies with your agreements with vendors and applicable law. You are responsible for the permissions and access you grant to staff and vendors.
- Protect account credentials, promptly remove access that is no longer needed, and notify us of suspected unauthorized use.
- Do not use the service to violate another person’s rights, send unlawful or unsolicited messages, interfere with the service, or submit secrets or customer information into fields that are not intended for them.
Plans, billing, and cancellation
If Shopify App Pricing is enabled for your installation, Shopify will show the plan price, billing interval, trial, and plan limits before you approve a charge. Shopify processes app subscription charges under its billing terms. A trial, where offered, ends according to the dates and conditions shown in Shopify’s approval flow. Uninstalling or changing a plan affects billing according to Shopify’s rules; contact Shopify for a billing dispute and contact us for app-specific help.
You may stop using ConsignClose by uninstalling it in Shopify. Uninstallation stops processing and removes the app’s stored Shopify session. Operational records are deleted when Shopify’s shop-redaction event is received; see the Privacy Policy for details.
Third-party services and availability
ConsignClose depends on Shopify and may use Cloudflare, Resend, and PayPal to provide hosting, email, and optional payouts. Those services are governed by their own terms and may be unavailable or change independently. We work to keep ConsignClose available and secure, but do not promise uninterrupted or error-free operation. Keep your own records and review important calculations before taking action.
Service changes and termination
We may update or discontinue a feature, suspend access to address a security issue or misuse, or end the service. Where practicable, we will provide notice for material changes. You may stop using the service at any time. Data handling after uninstall is described in the Privacy Policy.
Disclaimers and liability
To the extent allowed by applicable law, ConsignClose is provided “as is” and “as available.” We do not warrant that Shopify or third-party data is complete, that a calculation will match a merchant’s contract or accounting treatment, or that a payout will be accepted or completed. Merchants must verify their own records and decisions.
Nothing in these terms excludes or limits a right or liability that cannot be excluded or limited under applicable law. To the extent permitted by law, ConsignClose is not responsible for indirect, incidental, special, consequential, or punitive loss arising from use of the service or a third-party service.
Updates and contact
We may revise these terms as the service evolves. The effective date above shows when the current version was published. Continued use after a material change means you accept the revised terms to the extent permitted by law. Questions can be sent to support@mail.consignclose.com.
